This KDMC Token Purchase Risk Disclosure and Member Agreement (“Agreement”) explains important risks, responsibilities, and terms associated with purchasing, receiving, owning, holding, transferring, or selling KDMC digital tokens (“KDMC Tokens” or “Tokens”) offered or supported by Kingdom Coin Mining (“Kingdom Coin,” “KCM,” “Company,” “we,” “us,” or “our”).
By electronically accepting this Agreement, creating or maintaining a KDMC membership account, or proceeding with a KDMC Token purchase after being presented with this Agreement, you acknowledge that you have read, understand, and agree to the terms below.
KDMC Tokens are digital assets and involve significant financial, market, technological, business, liquidity, and regulatory risk.
Cryptocurrency and digital-asset markets can be highly volatile. The value of KDMC Tokens may rise or fall substantially over short periods of time. A Member may lose some or all of the money used to purchase KDMC Tokens.
You should purchase KDMC Tokens only with funds you can afford to lose.
Kingdom Coin does not guarantee that KDMC Tokens will increase in value, maintain their value, or generate any financial return.
Kingdom Coin does not promise or guarantee:
Any statements concerning potential future Token prices, business growth, partnerships, precious metals, blockchain technology, exchange development, mining operations, market expansion, or other business opportunities are forward-looking statements only.
Actual results may be materially different from expectations, projections, estimates, presentations, examples, or forecasts.
Past performance of KDMC Tokens, cryptocurrency, precious metals, or any other asset is not a guarantee of future performance.
The Member understands that KDMC Tokens are speculative and that the Token's market value could decrease substantially.
There is no guarantee that a Member will recover the amount originally paid for KDMC Tokens.
KDMC Tokens may become difficult or impossible to sell, and under certain circumstances they may have little or no realizable market value.
The Member accepts the possibility of losing the entire amount paid for KDMC Tokens.
Digital-asset markets may experience rapid and unpredictable changes caused by factors including:
Kingdom Coin does not guarantee that a marketplace or purchaser will be available when a Member wishes to sell KDMC Tokens.
An exchange or platform supporting KDMC Tokens may suspend trading, remove the Token, experience technical problems, become insolvent, or discontinue operations.
The Member understands that KDMC Tokens should not be purchased based upon an expectation of immediate liquidity.
Kingdom Coin may, when financially, legally, operationally, and commercially possible, consider requests from Members who wish to sell eligible KDMC Tokens back to the Company.
A Kingdom Coin buyback is not guaranteed.
Kingdom Coin is not obligated to repurchase Tokens merely because a Member requests a refund, redemption, or buyback.
Any buyback is subject to Company approval, availability of funds, verification of ownership, verification of the Member's original purchase, applicable laws and regulations, compliance requirements, and any other conditions reasonably required by the Company.
If Kingdom Coin approves a buyback, the Company will generally calculate the buyback amount based upon the documented original price actually paid by the Member for eligible Tokens.
Kingdom Coin is not required to pay the Token's current market value or any amount reflecting appreciation.
For example, if a Member purchased KDMC Tokens for $1.00 per Token and those Tokens later trade or are valued at $5.00 per Token, an approved original-price buyback would ordinarily be calculated using the Member's documented $1.00 purchase price.
Unless expressly approved otherwise in writing, Kingdom Coin will not include the value of the following when calculating a buyback:
Kingdom Coin is also not required to include any appreciation in Token value after the original purchase.
A Member should therefore not purchase KDMC Tokens in reliance upon the expectation that Kingdom Coin will later buy them back.
The Company's willingness to consider buyback requests does not create a guaranteed refund program, redemption right, insurance policy, bank deposit, or unconditional obligation to return the Member's original investment.
Digital assets rely upon blockchain networks, software, internet infrastructure, wallets, exchanges, service providers, and other technologies that may experience failures or security problems.
Risks may include:
Blockchain transactions may be irreversible.
Members are responsible for protecting their account credentials, passwords, private keys, recovery phrases, wallets, and authentication devices.
Kingdom Coin cannot guarantee recovery of Tokens that are lost, stolen, transferred to an incorrect address, or compromised because of circumstances outside the Company's control.
Laws and regulations involving cryptocurrency and digital assets continue to develop in the United States and internationally.
Government agencies, regulators, courts, or legislatures may adopt new requirements or interpretations affecting KDMC Tokens, Kingdom Coin, digital-asset exchanges, transfers, custody, taxation, reporting, or other activities.
Regulatory changes may affect:
Kingdom Coin may restrict, delay, suspend, reject, or modify transactions where reasonably necessary to comply with applicable laws, regulations, court orders, sanctions requirements, anti-money-laundering requirements, or other legal obligations.
Kingdom Coin may require Members to complete Know Your Customer (“KYC”), Anti-Money Laundering (“AML”), identity verification, sanctions screening, source-of-funds verification, or similar compliance procedures.
Members may be asked to provide identification, proof of address, beneficial ownership information, source-of-funds documentation, tax information, or other information reasonably required for compliance.
Kingdom Coin may suspend, restrict, delay, or deny a transaction where identification cannot be verified, fraud is suspected, compliance requirements have not been satisfied, or applicable law requires such action.
Members agree not to purchase, transfer, hold, or use KDMC Tokens for unlawful purposes.
Purchasing, selling, exchanging, receiving, transferring, or disposing of cryptocurrency may result in federal, state, local, or international tax obligations.
Kingdom Coin does not provide individualized tax advice.
Each Member is responsible for determining and satisfying his or her own reporting and tax obligations and should consult a qualified tax professional when appropriate.
Information provided by Kingdom Coin, including websites, presentations, marketing materials, representatives, employees, affiliates, or online content, should not be interpreted as individualized legal, tax, accounting, or financial advice unless expressly stated in a separate written agreement.
Each Member is responsible for independently determining whether the purchase of KDMC Tokens is appropriate for his or her financial circumstances.
Members are encouraged to consult independent legal, financial, and tax professionals before purchasing digital assets.
No Kingdom Coin representative, employee, salesperson, affiliate, promoter, contractor, or other person is authorized to guarantee that a Member will earn a particular profit or that KDMC Tokens will reach a particular future value unless such obligation is expressly contained in an authorized written agreement and is legally permitted.
Members should not rely upon oral statements, text messages, social-media messages, promotional discussions, projections, or informal statements that conflict with this Agreement or other official Kingdom Coin documentation.
Unless expressly stated in separate legally binding documentation, ownership of KDMC Tokens does not automatically provide a Member with:
A Member's rights are limited to those expressly provided by the applicable KDMC Token documentation and governing law.
Kingdom Coin may depend upon banks, payment processors, blockchain networks, exchanges, wallet providers, custodians, technology providers, liquidity providers, logistics companies, or other third parties.
Kingdom Coin cannot guarantee the continued operation, security, solvency, regulatory status, or performance of independent third parties.
A failure involving a third-party service provider may affect a Member's access to or use of KDMC Tokens.
If a dispute arises concerning KDMC Tokens, a Token purchase, Token ownership, account activity, a buyback request, or another matter involving Kingdom Coin, the Member agrees, where legally permitted, to provide written notice to Kingdom Coin describing the dispute and to provide the Company with a reasonable opportunity to attempt to resolve the matter before filing formal legal proceedings.
The Member acknowledges that investment losses, declines in Token value, lack of liquidity, failure to achieve projected values, or the unavailability of a discretionary Token buyback do not, by themselves, create liability against Kingdom Coin.
To the fullest extent permitted by applicable law, the Member voluntarily assumes the normal market, financial, technological, liquidity, business, and regulatory risks associated with purchasing and holding KDMC Tokens.
Nothing in this Agreement is intended to waive any right, claim, defense, or remedy that cannot legally be waived under applicable law.
By electronically accepting this Agreement and proceeding with a KDMC Token purchase, the Member confirms that:
The Member has read and understands this Agreement.
The Member understands that KDMC Tokens are high-risk digital assets.
The Member understands that some or all of the money used to purchase KDMC Tokens could be lost.
The Member understands that Kingdom Coin does not guarantee profits, Token appreciation, investment returns, or future market value.
The Member understands that liquidity is not guaranteed and that a buyer may not be available when the Member wishes to sell.
The Member understands that Kingdom Coin is not obligated to provide the Member with gains or compensate the Member for normal investment losses.
The Member understands that Kingdom Coin's Token buyback program is discretionary and not guaranteed.
The Member understands that if a Token buyback is approved, the Company will generally use the Member's documented original purchase price and will not be required to include Token appreciation, free Tokens, promotional Tokens, bonus Tokens, rewards, BOGO Tokens, or other Tokens that were not directly purchased.
The Member understands that laws and regulations affecting cryptocurrency may change.
The Member acknowledges having had an opportunity to conduct independent due diligence and seek professional legal, tax, or financial advice.
The Member voluntarily chooses to purchase or hold KDMC Tokens and accepts the risks described in this Agreement.
By selecting “I Agree,” “Accept,” “Continue,” “Purchase,” or a similar electronic acknowledgment presented with this Agreement, the Member confirms acceptance of this KDMC Token Purchase Risk Disclosure and Member Agreement.
The Member's electronic acceptance may be recorded by Kingdom Coin together with the Member's account information, date and time of acceptance, transaction information, and other records maintained in connection with the Member's account.
